Forms of the Commercial Brokers Association, or CBA, are the industry standard for commercial and multi-family investment transactions. CBA's Purchase and Sale Agreement, though, can be challenging for most investors and many commercial brokers to understand.

Many of us work with brokers when we enter into Purchase & Sale Agreements, many of us do not. As we all know, not all brokers are created equally; many brokers are powerhouses at finding and analyzing deals but not so much at providing a contract that fully serves our purposes and protects us in the event of a dispute.

As with most things in real estate, we have an obligation to have more than a cursory understanding of what we're doing. It is imperative that we know what we are signing and what each party's obligations are. What do each of the paragraphs mean? Should that box be checked? What if feasibility fails? Financing? Can I successfully terminate the contract without a monetary loss?

We'll take a close look at the CBA Purchase & Sale Agreement, look for potential red flags and learn to reduce our risk in the process!
